Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between your organization ("Organization", "you", "your") and Serviro AS ("Company", "we", "our", "us"), a company registered in Norway. By accessing or using the Avedio platform ("Service"), you agree to be bound by these Terms.

Avedio is exclusively available to organizations. We do not offer individual paid accounts. The person accepting these Terms represents and warrants that they have the authority to bind the organization to these Terms.

These Terms should be read in conjunction with our Privacy Policy and Data Processing Agreement, which governs the processing of personal data.

2. Service Description

Avedio is a platform designed to help organizations manage members, volunteers, events, groups, and communications. The Service provides tools for:

• Member and team management
• Volunteer and event coordination
• Chat and messaging functionality (powered by Stream Chat)
• Group organization and activity tracking

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Organization Account and User Management

3.1 Organization Account

Each organization receives a master account through which they manage their users. Organizations agree to:

• Provide accurate organizational information
• Designate authorized administrators
• Maintain current billing and contact information
• Manage user access appropriately
• Ensure compliance with data protection regulations

3.2 User Management Responsibilities

Organizations are responsible for:

• Creating and managing member accounts
• Obtaining necessary consents for users
• Ensuring appropriate use of the Service
• Managing user permissions and access levels
• Removing users who no longer require access

3.3 Member Data Protection

Organizations acknowledge that they are the Data Controller for all member personal data. Organizations must ensure compliance with GDPR and applicable privacy laws.

4. User Roles and Organization Responsibilities

The Service provides different user roles that organizations manage:

• Organization Administrators: Manage organization settings, user accounts, billing, and platform configuration.
• Members: Access assigned groups, events, and messaging functionality as directed by administrators.

Organizations are responsible for ensuring users only access features appropriate to their roles and comply with these Terms.

5. Acceptable Use Policy

5.1 Prohibited Activities

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Upload malicious software or harmful content
• Harass, bully, or harm other users
• Attempt to gain unauthorized access to the Service or other accounts
• Interfere with or disrupt the Service's operation
• Use automated systems or bots without permission
• Share inappropriate or offensive content
• Impersonate others or misrepresent your affiliation
• Use the Service for commercial purposes without authorization

5.2 Content Standards

All content must comply with applicable laws and respect users' privacy. We reserve the right to remove content that violates these standards.

6. Content and Intellectual Property

6.1 Organization Content

Organizations retain ownership of all content, messages, and materials uploaded to the Service ("Organization Content"). By using the Service, organizations grant us a limited, non-exclusive, royalty-free license to process, store, and display such content solely as necessary to provide the Service.

6.2 Platform Content

All Service content, features, functionality, design, and intellectual property (excluding user content) are owned by Serviro AS or its licensors and are protected by copyright, trademark, and other intellectual property laws.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property and may be used without compensation or attribution.

6.4 Data Processing Relationships

Organizations act as Data Controllers for member and organizational data, while Serviro AS acts as Data Processor. Organizations retain ownership and control over their data.

Organizations must agree to our Data Processing Agreement, which governs processing of personal data in compliance with GDPR Article 28. Individual users should refer to our Privacy Policy for information about how we process personal data.

7. Payment Terms

7.1 Pricing Model

Avedio is provided on a subscription basis to organizations. Pricing is based on the number of active people in your organization. An active person is defined as either:

• An administrator in Avedio, or
• A person who is part of a volunteer team or a group

You only pay for a person once per month, regardless of how many teams or groups they are part of. The base price per active person is 9 NOK per month (or equivalent in your local currency).

7.2 Billing and Payment

Subscription fees are billed monthly in advance on a recurring basis. All prices are exclusive of applicable taxes. In Norway, a 25% VAT (mva) applies and will be added to the invoice. For organizations in other jurisdictions, applicable local taxes will be added as required by law.

Payment processing is handled by Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method on a recurring monthly basis.

7.3 Free Trial

New organizations are eligible for a 30-day free trial period. No credit card is required to start the free trial. During the trial period, you have full access to all functionality. If you do not cancel before the end of the trial period, your subscription will automatically begin and you will be charged according to the number of active people in your organization.

7.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until the end of the paid period. No refunds are provided for partial months. To cancel, contact us or use the cancellation feature in your account settings.

7.5 Price Changes

We reserve the right to modify subscription fees. Price changes will be communicated at least 30 days in advance via email or Service notification and will take effect in the next billing cycle after the notice period. Continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.

7.6 Non-Payment

If payment fails or is declined, we may suspend or terminate your access to the Service. We will attempt to notify you of payment issues and provide a reasonable grace period to resolve them. Accounts suspended for non-payment may be terminated if payment is not received within 30 days.

7.7 Refunds

Refunds are provided only as required by law or at our sole discretion. Partial month refunds are not provided for cancelled subscriptions. If you cancel during a billing period, you retain access until the end of that period.

8. Disclaimers and Limitation of Liability

8.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

8.2 No Guarantee of Availability

We do not guarantee uninterrupted, error-free, or completely secure service. Use at your own risk.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVIRO AS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR USE ARISING FROM SERVICE USE. Total liability shall not exceed the amount paid in the twelve months preceding the claim.

9. Indemnification

The organization agrees to defend, indemnify, and hold harmless Serviro AS, its officers, directors, employees, and agents from claims, damages, losses, liabilities, costs, and expenses arising from:

• The organization's use or misuse of the Service
• Violation of these Terms or applicable laws
• Violation of rights of members or third parties
• Organization Content and user activities
• Failure to obtain necessary consents or permissions

10. Termination

10.1 Termination by Organization

Organizations may terminate their subscription by providing 30 days written notice. Upon termination, organizations should export their data; all data will be anonymized after a reasonable retention period.

10.2 Termination by Us

We may suspend or terminate accounts immediately for:

• Violation of these Terms
• Non-payment of fees
• Conduct harmful to other users or the Service
• Legal requirements or law enforcement requests

10.3 Effect of Termination

Upon termination, access ceases immediately. Organizations have 30 days to export data. Afterwards, data will be anonymized. Provisions such as indemnification and limitation of liability survive termination.

11. Governing Law and Disputes

These Terms are governed by Norwegian law. Disputes shall first attempt good faith negotiation; if unresolved, disputes shall be resolved in Norwegian courts. Consumer rights remain unaffected.

12. General Provisions

• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement.
• Severability: Invalid provisions do not affect remaining Terms.
• No Waiver: Failure to enforce a provision is not a waiver.
• Assignment: Organizations may not assign without consent; we may assign freely.

13. Changes to Terms

We reserve the right to update these Terms. Material changes will be notified via email or Service announcement at least 30 days before taking effect. Continued use constitutes acceptance. Minor changes may be updated without notice.
